Welcome to PTO Direct USA. The terms “we,” “us,” and “our” refer to PTO Direct USA. These Terms of Service (“Terms”) govern your access to and use of our website, online store, products, and related services collectively referred to as the “Services.” Our online store is hosted by Shopify, which provides the ecommerce platform that enables us to offer our products and Services.

By accessing the Services, placing an order, or making a purchase, you agree to these Terms and our Privacy Policy, Refund Policy, Shipping Policy, and any other policies referenced in these Terms. If you do not agree, please discontinue use of the Services.

1. Eligibility and Accounts

You represent that you are at least the age of majority in your state of residence and legally able to enter into a binding agreement.

You agree to provide accurate, current, and complete account, billing, payment, and shipping information. You are responsible for maintaining the confidentiality of your account credentials and for activity occurring through your account.

You may not transfer, sell, or license your account to another person. Please notify us promptly if you believe your account has been accessed without authorization.

2. Products and Product Information

We work to provide accurate product descriptions, specifications, photographs, cross-reference information, pricing, and availability. However:

  • Colors and appearance may vary depending on lighting, photography, and device settings
  • Product packaging, labels, branding, connectors, or minor production details may change
  • Images may differ slightly from the current production version
  • Specifications and part-number supersessions may be updated as new information becomes available
  • Products may be discontinued, replaced, limited, or temporarily unavailable

Unless a product is expressly identified as an OEM product, replacement parts sold by PTO Direct USA may be aftermarket products manufactured for compatibility with the referenced equipment or part number.

Please review the complete product description before ordering. If a particular measurement, connector, part number, or configuration is important to your application, please contact us before ordering.

3. Fitment and Part Selection

PTO Direct USA is glad to provide general fitment assistance based on the information supplied by the customer and the reference information available to us.

Mower parts may vary by model year, serial number, engine, deck configuration, production date, or previous equipment modifications. A mower model name alone may not be sufficient to identify the correct part.

Customers should verify the original equipment part number and applicable specifications before ordering and installation, including where relevant:

  • OEM, Warner, or Ogura part number
  • Pulley diameter and belt configuration
  • Crankshaft bore size and keyway configuration
  • Rotation direction
  • Connector and wiring configuration
  • Mower model and serial or PIN range
  • Engine and deck configuration

Customers are responsible for providing accurate equipment and part-number information and reviewing the listed specifications before installation. If you are uncertain, please contact us before mounting, wiring, testing, or modifying the product.

Our Fitment Guarantee may apply when a customer correctly matches a listed OEM, Warner, or Ogura part number and the replacement is not compatible with that confirmed part-number path. Nothing in this section limits the protection provided by the Fitment Guarantee according to its published terms.

4. Installation and Safe Use

Replacement mower parts must be installed correctly and used only for their intended purpose. Customers should follow the equipment manufacturer’s service procedures, safety instructions, hardware requirements, and torque specifications.

If you are not qualified or comfortable performing the work, installation should be completed by a qualified repair technician. Do not install or operate a part that appears damaged, has an incorrect configuration, or does not match the original component.

To the fullest extent permitted by law, PTO Direct USA is not responsible for damage, injury, loss, or additional repair costs caused by:

  • Incorrect part selection or mis-fitment
  • Improper installation or removal
  • Incorrect electrical wiring or damaged mower wiring
  • Missing, incorrect, loose, or improperly installed hardware
  • Unauthorized modification, disassembly, or alteration
  • Failure to follow applicable service and safety procedures
  • Misuse, abuse, impact, contamination, or inadequate maintenance
  • Mower-side electrical, belt, deck, engine, or mechanical problems
  • Continued operation after an abnormal sound, smell, vibration, or other problem appears

Nothing in these Terms excludes responsibility or consumer rights that cannot legally be excluded.

5. Orders and Acceptance

Submitting an order constitutes an offer to purchase. An automated order confirmation acknowledges that we received the order but does not necessarily constitute final acceptance.

We may reject, limit, or cancel an order before shipment for reasons including product unavailability, payment-verification problems, suspected fraud, incorrect pricing or product information, shipping restrictions, or legal requirements.

If we cancel a paid order, the applicable amount will be refunded to the original payment method. Acceptance occurs when the order ships or when we otherwise expressly confirm acceptance.

Please review your products, quantities, shipping address, and contact information before submitting an order. Changes or cancellations may not be possible after fulfillment processing begins.

6. Prices, Taxes, and Payment

Prices, discounts, availability, and promotions may change without notice before an order is placed. Promotional offers may be subject to additional terms, expiration dates, quantity limits, or product exclusions.

Posted prices do not include applicable taxes or shipping charges unless expressly stated. Any applicable taxes and shipping charges will be displayed during checkout.

You represent that the payment information submitted is accurate and that you are authorized to use the selected payment method. We may use third-party payment processors to complete transactions and help prevent fraud.

7. Shipping and Delivery

Orders are processed and shipped according to our Shipping Policy. Processing and delivery estimates are provided in good faith but are not guaranteed.

An order may be fulfilled from more than one facility or fulfillment partner. Products from the same order may arrive in separate packages, on different days, or through different carriers. Separate tracking numbers may be provided when available.

Customers are responsible for providing a complete, correct, and deliverable shipping address. Please contact us immediately if you discover an address error. Address changes may not be possible after fulfillment begins.

Tracking information may require 24–48 hours to begin updating after a shipping label is created.

If tracking does not show meaningful movement or your package has not arrived within nine calendar days from the order date, please contact us. We will review the tracking information and contact the carrier when appropriate.

If a package is confirmed lost in transit by the carrier or through our shipping investigation, PTO Direct USA will arrange a replacement shipment at no additional cost, subject to product availability and the terms of our Shipping Policy.

Carrier delays caused by weather, service interruptions, high-volume periods, natural disasters, or other events outside our control may affect delivery estimates. If we cannot ship an order within the communicated processing period, we will provide any notice, cancellation option, or refund required by applicable law.

8. Returns and Exchanges

Eligible unused, uninstalled, and undamaged products may generally be returned or exchanged within 60 days of delivery. All returns and exchanges are governed by our complete Refund Policy.

Electrical components, including PTO clutches, are not eligible for a standard return after being mounted, wired, energized, test-fitted, modified, or installed.

Please contact us before returning an item. PTO Direct USA receives substantial carrier discounts, so we strongly recommend using the prepaid return label we provide instead of purchasing postage at retail rates.

When return shipping is the customer’s responsibility, the discounted label cost may be deducted from the refund, store credit, or price adjustment as explained in our Refund Policy.

If there is a conflict between this summary and the complete Refund Policy, the more specific terms of the Refund Policy will control to the extent permitted by law.

9. Product Concerns After Installation

If an installed product is not operating as expected, stop using it and contact PTO Direct USA before removing, disassembling, modifying, or returning it.

We may request the order number, mower model and serial number, the part number from the original component, photographs of the product and installation, and a description of what occurred. Diagnostic information from a qualified repair technician may also be requested when appropriate.

A reported problem or unsuccessful installation does not by itself establish a manufacturing defect. Product performance may be affected by fitment, installation, wiring, charging voltage, belt alignment, excessive belt load, seized deck components, damaged hardware, equipment condition, or other mower-side problems.

Available case-by-case resolutions may include troubleshooting assistance, inspection, exchange, replacement, store credit, a partial refund, a full refund after return, or another mutually agreed solution. A product review does not guarantee that every reported problem will qualify for a refund or replacement.

10. Third-Party Marketplace and Affiliate Links

The Services may contain links to products or services offered by third-party marketplaces or sellers. A purchase completed through a third-party website is a transaction between the customer and that third-party seller, not PTO Direct USA.

Third-party sellers control their own prices, availability, shipping, package contents, returns, product support, and any seller-provided coverage. Customers should review the seller’s current listing and policies before purchasing.

Some third-party links may be affiliate links. PTO Direct USA may earn a commission from a qualifying purchase at no additional cost to the customer. Additional affiliate disclosures may appear near the applicable product link or recommendation.

A link to a third-party product does not guarantee continuing availability, current pricing, product condition, or compatibility. PTO Direct USA is not responsible for the content, policies, fulfillment, or conduct of third-party websites or sellers.

11. Intellectual Property and Trademarks

Website content created by PTO Direct USA, including our branding, logos, original photographs, graphics, written descriptions, guides, page layouts, and other original materials, is owned by PTO Direct USA or used under applicable permission or license.

You may view and use the content for personal shopping and informational purposes. You may not copy, reproduce, republish, distribute, scrape, sell, or commercially exploit protected content without written permission.

OEM names, equipment brands, product names, model names, and part numbers are trademarks or property of their respective owners. Their use on PTO Direct USA is for identification, compatibility, and cross-reference purposes and does not imply sponsorship, authorization, or endorsement unless expressly stated.

12. Reviews, Feedback, and Submitted Content

If you submit a review, photograph, suggestion, testimonial, fitment report, or other content to PTO Direct USA, you represent that you have the right to provide it and that it is accurate to the best of your knowledge.

You grant PTO Direct USA a non-exclusive, worldwide, royalty-free license to use, reproduce, edit, publish, and display that content for customer service, operational, informational, and promotional purposes, subject to our Privacy Policy and applicable law.

Submitted content may not be unlawful, fraudulent, threatening, abusive, defamatory, misleading, infringing, or contain malicious code. We may decline to publish or may remove submitted content when reasonably necessary.

13. Optional Tools and Third-Party Services

We may provide access to optional tools, applications, payment services, tracking services, or other features operated by third parties.

Third-party services may be governed by their own terms and privacy policies. To the fullest extent permitted by law, optional third-party tools are provided based on their current availability, and PTO Direct USA does not control or guarantee their uninterrupted operation.

14. Relationship With Shopify

Shopify provides the ecommerce platform used to operate the PTO Direct USA online store. Purchases made directly through PTO Direct USA are transactions between the customer and PTO Direct USA.

Shopify is not the seller of our products and is not responsible for product selection, fitment assistance, order fulfillment, product quality, returns, exchanges, or customer service provided by PTO Direct USA.

To the fullest extent permitted by law, you release Shopify and its affiliates from claims arising solely from a purchase transaction between you and PTO Direct USA. This provision does not waive any rights that cannot legally be waived.

15. Privacy

Our collection, use, and disclosure of personal information are described in our Privacy Policy.

Information may be transmitted to Shopify, payment processors, shipping carriers, fulfillment partners, fraud-prevention providers, and other service providers when reasonably necessary to operate the store, process payments, fulfill orders, prevent fraud, provide support, or comply with legal obligations.

16. Errors, Inaccuracies, and Omissions

Product descriptions, cross-references, pricing, availability, promotions, shipping estimates, and other website content may occasionally contain errors or omissions.

We may correct website information and update content when an error is discovered. If a material pricing, availability, or product-information error affects an order before fulfillment, we may contact the customer and offer the choice to proceed under the corrected information or cancel the affected item for a refund.

We will not retroactively increase the price of a completed and fulfilled order because of a website error.

17. Prohibited Uses

You may not use the Services to:

  • Violate any applicable law or regulation
  • Commit fraud or submit false or misleading information
  • Infringe intellectual property or privacy rights
  • Upload or transmit malicious or destructive code
  • Attempt unauthorized access to accounts, systems, or data
  • Interfere with the security, availability, or operation of the Services
  • Harvest personal information without authorization
  • Use automated scraping, crawling, or data-extraction tools without permission
  • Harass, threaten, impersonate, or harm another person
  • Use the Services for any unlawful or abusive purpose

18. Suspension and Termination

We may suspend or terminate access to the Services when we reasonably believe a person has violated these Terms, engaged in fraud or abuse, threatened the security of the Services, or created legal or operational risk.

Termination does not affect obligations or rights arising from orders placed before termination. Provisions that reasonably should survive termination will remain effective.

19. Disclaimer Regarding Website Services

We work to keep the website, product information, and online Services accurate and available. However, we do not promise that the website will always operate without interruption, delay, security vulnerability, or technical error.

To the fullest extent permitted by law, the website, website content, and optional online tools are provided on an “as available” basis.

This section applies to the operation and content of the website. It does not eliminate or limit any return rights, product remedies, or consumer protections that cannot legally be excluded.

20. Limitation of Liability

To the fullest extent permitted by law, PTO Direct USA and its owners, employees, agents, suppliers, and service providers will not be liable for indirect, incidental, special, punitive, or consequential damages arising from use of the Services or products, including lost profits, lost revenue, equipment downtime, or loss of data.

PTO Direct USA is not responsible for equipment damage or additional repair costs caused by incorrect fitment, improper installation, incorrect wiring, unauthorized modification, misuse, failure to follow safety procedures, or mower-side mechanical or electrical problems.

Some states do not allow certain limitations or exclusions of liability. In those states, these limitations apply only to the maximum extent permitted by law. Nothing in these Terms limits liability that cannot legally be limited.

21. Indemnification

To the extent permitted by law, you agree to indemnify and hold PTO Direct USA harmless from third-party claims, losses, or reasonable expenses resulting from your unlawful use of the Services, fraudulent conduct, violation of these Terms, or infringement of another person’s rights.

This section does not apply to claims caused by conduct for which PTO Direct USA is legally responsible.

22. Changes to These Terms

We may update these Terms to reflect changes in our Services, policies, business practices, or legal obligations. Updated Terms will be posted on this page with a revised “Last Updated” date.

Changes apply from their stated effective date and do not retroactively alter the agreed terms of an already completed purchase. Continued use of the Services after updated Terms become effective constitutes acceptance of those updated Terms.

23. Governing Law

These Terms and your use of the Services are governed by the laws of the State of Oregon and applicable federal law, without regard to conflict-of-law principles.

Any dispute that cannot be resolved informally will be handled by a court of competent jurisdiction in Oregon unless applicable consumer law permits or requires the dispute to be heard elsewhere.

24. Severability

If any provision of these Terms is found to be unlawful, invalid, or unenforceable, that provision will be enforced to the maximum extent permitted or removed to the minimum extent necessary. The remaining provisions will continue in full force.

25. No Waiver

Our failure to enforce a provision of these Terms does not waive our right to enforce that provision or any other provision later.

26. Entire Agreement

These Terms, together with our Privacy Policy, Refund Policy, Shipping Policy, Fitment Guarantee, and any product-specific or promotional terms presented at the time of purchase, constitute the agreement between you and PTO Direct USA concerning the Services and your purchase.

If a product-specific term directly conflicts with these general Terms, the more specific term will control for that product or transaction to the extent permitted by law.
